1. DEFINITIONS              

  • The following terms and expressions have the meaning indicated hereafter, notwithstanding, it is understood that the terms referred to as singular must be intended also as plural and vice versa.
  •  Client: is intended as any subject (whether natural or legal person) who buys one or more Products through the Online Store, thereby accepting the General Conditions. 
  •  Zerogrey Srl: is intended as Zerogrey S.r.l. single member corporation with legal headquarters in Turin, Via L. Colli, 15, registered in the Companies Registry of Turin, Fiscal Code and registration number 08003340018, REA 938258, concessionary company of INTICOM SPA for the Products retail sale through the Online Store.
  •  Parts: is intended as Zerogrey Srl and the Clients jointly.  General sales conditions: is intended as the present General Sales Conditions and possible future new versions which may be published on the Online Store by Zerogrey Srl.
  •  Online Store: is intended as the virtual store, managed by Zerogrey Srl and accessible through URL http://www.yamamay.com, through which the Products can be purchased.
  • Sales contracts: is intended as the concluded Products’ sales contracts as per art. 3., between Zerogrey Srl and the Clients through the Online store.
  •  Orders: is intended as the Products purchase orders sent by the Clients, in compliance with the General Conditions and following the procedure as per art. 6.
  •  Order Confirmation: is intended as the e-mail message through which Zerogrey Srl communicates the Clients their Orders acceptance.
  • Price: is intended as the Products’ sales price as indicated on the Online Store corresponding to the same Products.
  • Products: is intended as the Products published on the Online Store for their Sale.
  • Profile: is intended as the area of the Online Store where Clients can (prior to identification):

 (i) view and modify their personal data and the addresses where the Products object of the Orders must be shipped and delivered; (ii) view previous Orders; (iii) access any other specific function related to their Online Store activity.

2. OBJECT
 2.1 The General Conditions regulate all the Sales Contracts and form an integral part of them. 2.2 Zerogrey Srl reserves its right to amend the General Conditions at any time, nonetheless, those published on the Online Store at the time of the Clients’ Orders forwarding shall be intended applicable to the Sales Contracts.
2.3 In case of contrast between the General Conditions and eventual other terms and conditions related to Sales Contracts published on the Online Store, the conditions most favourable for the Clients will be applied. 
2.2 Zerogrey Srl reserves its right to amend the General Conditions at any time, nonetheless, those published on the Online Store at the time of the Clients’ Orders forwarding shall be intended applicable to the Sales Contracts.
2.3 In case of contrast between the General Conditions and eventual other terms and conditions related to Sales Contracts published on the Online Store, the conditions most favourable for the Clients will be applied. 

3. SALES CONTRACTS DEFINITION
3.1 Zerogrey Srl will send the order confirmation to the customers within 2 working days from recipt of the orders from the Customers, subject to Zerogrey accepting the order at their sole discretion. Zerogrey reserves the right to cancel the Order Confirmation in case the Price shows a wrong amount (also in case this amount was actually displayed on the Online Shop) compared to the one compliant to Zerogrey's Pricelist, as specified in clause 5.1.
3.2 Sales Contracts shall be intended defined between the Parties upon Clients’ reception of the Order Confirmation. Should clients fail to receive the Order Confirmation within the terms indicated by art. 3.1, the related Order shall be intended as refused by Zerogrey Srl and, therefore, void.
3.3 With the Orders forwarding, Clients declare to have viewed all the instructions regarding the Products’ purchase as per art. 6 and having fully accepted the General Conditions as well as having viewed all further information reported on the Online Store, also recalled through appropriate link.
3.4 Orders shall be archived on the Online Store database according to the methods and in compliance with the regulations as per Legislative Decree 30.06.2003 n. 196 (“Privacy Policy”) and shall be accessible by contacting Zerogrey Srl as per indications given in art. 16, that is by accessing the Profile.
4. PRODUCTS AVAILABILITY
4.1 Notwithstanding the provisions of art. 4.6, in correspondence of each Product published on the Online Store, Zerogrey Srl indicates if the same is:
(i) available at its warehouses;
(ii) not available at its warehouses;
(iii) available “on request”;
(iv) “customisable”.
4.2 The types of Products published on the Online Store as well as their availability may vary at any time without this leading to any further responsibility of Zerogrey Srl towards the Clients.
4.3 The indication related to the availability of the Products is not binding, without prejudice to the fact that Products indicated as “not available" as per art. 4.1 (ii) may not be ordered by the Clients. In case of unexpected unavailability of a Product indicated as available at the moment of the Order forwarding by the Client, notwithstanding provisions as per art. 3.2, Zerogrey Srl commits to indicating the Client – in a following communication through e-mail- the approximate times for a new availability of the Product/s object of the Client’s Order. Clients can withdraw the order within 48 hours from the reception of this communication by Zerogrey Srl (without prejudice to the right of withdrawal as per art. 9) by sending an e-mail to the address specified in art. 16. In this case, Zerogrey Srl commits to refunding the Price in the fastest possible time.
4.4 Should a Product report the indication “available on request”, this means the Product is not at that time available at Zerogrey Srl warehouses yet Zerogrey Srl will take care to order the Product at Yamamay central warehouses after the Client has ordered it to Zerogrey Srl.
4.5 Should the Product report the indication “customisable”, this means that the Product can be modified/adapted/customised according to the Clients’ specific requests. In this case, Clients shall indicate their requests in the appropriate space at the time of the Orders forwarding. After the forwarding of the Order Confirmation, Zerogrey Srl commits to communicating its Clients (through e-mail), the terms expected for the delivery of the customised Product. Although Zerogrey Srl commits to do everything in its power to ensure the respect of these terms, the same must be intended as merely approximate and are not binding for Zerogrey Srl;
4.6 Zerogrey Srl reserves the right not to indicate the availability of the Products or of some Products published on the Online Store.
(i) available at its warehouses;
(ii) not available at its warehouses;
(iii) available “on request”;
(iv) “customisable”.
4.2 The types of Products published on the Online Store as well as their availability may vary at any time without this leading to any further responsibility of Zerogrey Srl towards the Clients.
4.3 The iavailability of the Products indicated in the On-Line shop is by no means binding. The Products indicated as "not available" in accordance to clause 4.1 (ii) cannot be purchased by the Customers. Should a Product (indicated as available at the time the Order was placed by the Customer) no longer be available, Zerogrey, save for the provision set forth under clause 3.2, will use its best endeavours to inform the Customer, by email, that non available item/s will be refunded in a timely manner directly to the same payment method selected by the Customer in the order. Available items selected in the order will be sent to the Customer. Zerogrey will accept no liability or responsability for the non / delayed availability of aby product/s.
4.4 Should a Product report the indication “available on request”, this means the Product is not at that time available at Zerogrey Srl warehouses yet Zerogrey Srl will take care to order the Product at Yamamay central warehouses after the Client has ordered it to Zerogrey Srl.
4.5 Should the Product report the indication “customisable”, this means that the Product can be modified/adapted/customised according to the Clients’ specific requests. 4.6 Zerogrey Srl reserves the right not to indicate the availability of the Products or of some Products published on the Online Store.

5. PRICE AND SHIPMENT COSTS, TAXES AND DUTIES 
5.1 The Price is expressed in € (Euro). The applicable price is that indicated on the Online Store at the time of the Clients’ Orders forwarding.
5.2 The Price is intended inclusive of VAT (21 %), should the Products be shipped by Zerogrey Srl and delivered inside the European Union. Should the Products be shipped by Zerogrey Srl and delivered outside the European Union, the Price is intended without VAT.
5.3 The Price does not include shipment costs. Zerogrey Srl reserves the right to request Clients a contribution for shipment costs which can vary according to the type of delivery, the quantity of Products to be delivered, their volume, their weight and their destination.
5.4 The contribution requested by Zerogrey Srl for delivery costs is indicated separately from the Price before forwarding the Order by the Clients and shall be paid by Clients on and contextually to the payment of the Price as per art. 7.
5.5 Potential taxes, levies, duties and other burdens expected by the law or the Country where the Order are being shipped and delivered shall be entirely at the expenses of the Clients and by them paid on Products delivery, directly to the competent fiscal or customs authorities or to the courier in charge of the delivery.

6.ORDERS FORWARDING PROCEDURE
6.1 In order to proceed with the Orders forwarding, Clients must register on the Online Store by entering all the “compulsory” data and choose a password to send Orders and access – even in a following moment – their Profile.
6.2 Clients may purchase the Products selected on the Online Store dedicated to the type of Product searched and adding them to the “cart”. Should the Products the Clients intend to purchase be more than one, the same abovementioned procedure must be repeated by clicking “add other products”. Once the Products choice is completed, Clients must proceed to registration (if they have not done so before) as per art. 6.1 or, if already registered, they must log in by entering their e-mail address and password in the appropriate spaces and click “checkout”. Once the correctness of the data regarding the Product/s chosen and of the “forwarding information” have been verified, Clients must choose the payment method as per art. 7. After choosing the payment method, Clients can proceed to the Orders forwarding by clicking “send”.

7. PAYMENT METHODS
7.1 Clients may pay the Price of the Product and contribution for shipping as per art. 5 by credit card, postal payment slip, PayPal, bank transfer or other payment methods which may be indicated by Zerogrey Srl on the Online Store. Zerogrey Srl reserves the right to amend the payment methods Clients may use at any moment, nonetheless, those published on the Online Store at the time of the Clients’ Orders dispatch shall be intended applicable.
7.2 In case of credit card paymentsClients will be charged the Price and contribution for shipment costs as per art. 5 once credit card data have been verified and the authorization to charge is received by the company issuing the credit card used by the Client, contextually with the forwarding by Zerogrey Srl of the Order Confirmation. Credit card data sent during the Orders fulfilment are protected and sent directly to the bank managing the payments. Payment is carried out directly on a safe server, with SSL encryption key so as to guarantee the absolute safety of the transaction. Credit card data is not accessible by Zerogrey Srl or by any other third party neither at the moment of the Orders forwarding nor later. To guarantee Clients the safety and functionality of payments carried out through credit card, Zerogrey Srl offers the BIBIT - Royal Bank of Scotland Group virtual POS payment solution. In the credit card bank statement, Clients will receive the charge with the following reason for payment "BIBIT payment" or "zerogreyweb".
7.3 In case of postal slip payment, Clients must pay on the Zerogrey Srl postal account indicated on the Online Store at any post office, indicating  the order number (including initial letters) communicated by Zerogrey Srl at the moment of the Clients’ Order forwarding and in the Order Confirmation as reason for payment.
7.4 In case of bank transfer, Clients must make their transfer using the data indicated on the Online Store, indicating in the reason for payment the order number (including initial letters) communicated by Zerogrey Srl at the moment of the Clients’ order forwarding and in the Order Confirmation. 
7.5 In case of PayPal payment, the Web session will be transferred on Pay Pal Safe Web site at the moment of the Clients’ Order forwarding. On this website, Clients may complete the payment of the Price and contribution for shipping as per art. 5 using their PayPal account and according to the conditions of use of the PayPal service subscribed by the Clients at that moment or before. The charging of the Product’s Price and contribution for shipping as per art. 5 on the Client’s PayPal occurs contextually to the forwarding by Zerogrey Srl of the Order Confirmation.
7.6 If requested by the Client contextually to the Orders forwarding, Zerogrey Srl shall send regular invoice to the Client through either e-mail or mail. Data supplied by the Clients shall be deemed authentic for the purpose of the invoice issue. No invoice modification will be possible after its issuing by Zerogrey Srl.
7.7 Information received by Zerogrey Srl as per the present article 7 shall be exclusively used to complete the procedures related to the Products’ sale and for refund procedures in case of the Clients’ withdrawal right exercise as per art. 9. 

8. PRODUCTS SHIPPING AND DELIVERY
8.1 Provided that Products “shipment” by Zerogrey Srl means the delivery of the same to the couriers selected from time to time as per art.
 8.2, Zerogrey Srl is not obliged to Products shipment until receiving the payment of the Price; after receiving the payment, Zerogrey Srl commits to shipping the Products: (i) in case of available Products (as defined by art. 4.): - within 3 working days from reception of the charging communication as per art. 7.2 in case of credit card payment;. - within 3 working days from the moment in which Zerogrey Srl receives payment certification for means differing from credit card payments; (i) in case of available Products which have become unavailable (as defined by art. 4.3), within 3 working days from the moment such Product or Products are again available at Zerogrey Srl warehouses, without prejudice to the Client’s right to withdraw the Order as per the same art. 4.3; (i) in case of Products “on request” (as defined by art. 4.4), within 3 working days from the moment such Products are available at Zerogrey Srl warehouses; (i) in case of “customisable” Products (as defined by art. 4.5), within 3 working days from the moment such Products are available at Zerogrey Srl warehouses; (v) in case the availability of one or more Products is not indicated (as per right indicated at art. 4.6) and the Products are available at Zerogrey Srl warehouses at the moment of the Client’s Order forwarding: - within 3 working days from reception of the charging communication as per art.  7.2 in case of credit card payment; - within working days from the moment in which Zerogrey Srl receives payment certification for means differing from credit card payments; (v) in case the availability of one or more Products is not indicated (as per right indicated at art. 4.6) and the Products are unavailable at Zerogrey Srl warehouses at the moment of the Client’s Order forwarding, within 3 working days from the moment the Products are available at Zerogrey Srl warehouses.:
 8.2 Zerogrey Srl guarantees Products’ shipment in the Countries indicated on the Online Store, through express couriers chosen from time to time according to the Product ordered and its destination. Products are shipped by Zerogrey Srl and delivered to the selected couriers by Zerogrey Srl to the address indicated by the Clients on registration, as per art. 6.1 or at a different address indicated at the moment of the Order forwarding.
8.3 Zerogrey Srl commits to do everything in its power so that the shipped Products as per articles 8.1 and 8.2 are delivered by the selected couriers: - within 48 hours from the shipment date in Italy; - within 10 days from the shipment date outside Italy; 
8.4 The Delivery Terms as per art. 8.3, cannot – in any case – be deemed as binding and Zerogrey Srl cannot be held in any way responsible of their adherence as it cannot directly control the delivery of Products after their shipment.
8.5 In order to allow Clients to follow the status of their Orders, Zerogrey Srl generates an Order number which,–entered in the "My Orders" section (accessible from all the pages of the Online Store) allows to verify all the information related to the Orders. 
8.6 Clients can also verify the status of their Orders thanks to the on-line “Order Tracking” function supplied by the couriers chosen by Zerogrey Srl for the delivery. Such verification can be performer by the Clients only after the shipment of the Products and using the tracking data communicated by Zerogrey Srl through e-mail, that is by accessing the Profile. 
8.7 Clients or other subjects entrusted by the Clients to collect the Product at the address indicated for the delivery of the Products in the Order Confirmation, must, at the moment of delivery verify that: (i) Products correspond to those indicated in the couriers’ transportation document (DDT) both by number and type; (ii) the packaging of the Product is intact, undamaged or in any way altered, even as far as the closing materials.
 8.8 Any damage to the Products’ packaging must be immediately notified by the Clients through the affixing of a reserve to verification written on the document of carried out delivery handed by the couriers. It is intended that, once the courier’s document has been signed without any notification, Clients will no longer have the right to forward any notification to Zerogrey Srl in reference to the exterior conditions of what has been delivered.
8.9 Products may be delivered by the couriers only to the Clients or to persons authorised by the Clients; the person to which products are delivered must sign to certify the delivery. Carriers do not deliver at Postal Boxes or by inserting the Products in letter boxes or similar places.

9. WITHDRAWAL RIGHT
9.1 Should Clients be “consumers” (that is, physical persons acting with scopes differing from entrepreneurial, commercial, craftsman or professional activities possibly carried out), they have the right, as per art. 64 of Legislative Decree n. 206/2005, to withdraw from the Sales Contracts within 30 days from the date of reception of the Products object of the Sales Contract. The Right of Withdrawal must be exercised by Clients by sending Zerogrey Srl a written communication through e-mail at the address indicated in art. 16, reporting: (i) the will to avail themselves of the Withdrawal Right; (ii) the indication of the Order object of the Sales Contract from which they intend to withdraw. 
9.2 In case of Clients exercising the Withdrawal Right as per the present art. 9:
(i) Clients commit to return the Products within 10 working days from the date of withdrawal communication as per art. 9.1;
(ii) all the costs connected to the Products return shall be entirely at the Clients expenses;
(iii) Zerogrey Srl commits to refunding the Price in the shortest possible time and in any case within 30 working days from the date of withdrawal communication as per art. 9.1, provided that: - Products have been returned and are intact; - the original packaging must also be returned and must be intact; - any accessories, instruction manual etc must also be returned and must be intact; - Products have not been used;
(iv) Zerogrey Srl shall communicate Clients the procedure for the refund of the Price and thus asks Clients their bank data (current account IBAN and holder name). 
9.3 Should Clients exercising the withdrawal right fail to comply to the indicated procedure and terms as per the present art. 9, they will have no right to Price refund. 9.4 Alternatively to the exercise of the Withdrawal Right as per the present art. 9, “consumer” Clients (according to the definition as per art. 9.1) can choose a “product change” according to the procedures and terms specified on the Online Store.

10. PRODUCTS' FAULTS/DEFECTS
10.1 Should the Products hold a warranty granted by the producer of the same (commercial/conventional warranty), any fault/defect of the Products must be reported by the Clients directly to the producer according to the procedures and terms indicated in the warranty itself.
10.2 “Consumer” Clients (as defined by art. 9.1) may require the vendor, in the terms as per art. 132 of Legislative Decree 206/05 (Consumer Code), the remedies expected by the Consumer Code for Products non-conformities detected at the time of the goods’ delivery. 

11. PRODUCT RESPONSIBILITY
The Products producer is the subject responsible for any damage caused by defects of the Products. 

12. PRIVACY
Zerogrey Srl declares and guarantees that Clients’ personal data shall be treated in compliance with the regulations as per Legislative Decree 196/03 and following modification. Details related to data treatment methods are communicated to Clients on registration as per art. 6.1 or 6.2.

13.ONLINE STORE ERRORS AND/OR INCORRECTNESS
13.1 Zerogrey Srl commits to constantly monitor the Online Store so as to avoid errors or inaccuracies. However, the Online Store may, or may in time, incur into errors, inaccuracies or omissions. 13.2 Zerogrey Srl reserves its right to correct errors, inaccuracies or omissions on the Online Store even after an Order has been forwarded and also reserves the right to change or update the information at any time even without previously informing the Clients. 

14. INTELLECTUAL PROPERTY
All intellectual property rights connected to the Online Store (including its contents) are exclusive property of Zerogrey Srl and/or of INTICOM SPA; The Online Store and its contents cannot be reproduced either integrally or partially, transferred with electronic or conventional means, modified, connected and used for any purpose without the prior written consent of Zerogrey Srl.
15. JURISDICTION
15.1 General Conditions and Sales Contracts are regulated by the Italian law (and particularly by Legislative Decree 206 dated 06/09/2005 – which at articles from 50 to 67 regulates remote contracts – and by Legislative Decree 70 dated 09/04/2003 dealing with electronic sales) and must therefore be interpreted according to these laws.
15.2 Any controversy rising in connection to the General Conditions and/or Sales Contracts, shall be exclusive jurisdiction of the Court of Turin.

Privacy Policy pursuant to art 13 Legislative Decree 196/03. The present communication is to inform you that single-member Company Zerogrey S.r.l. (hereinafter referred to as Zerogrey Srl) and Company INTICOM S.P.A. (hereinafter referred to as Yamamay) collect and treat your personal data in full respect of Legislative Decree 196/03. Data is entered in the databases of Zerogrey Srl and Yamamay following your consent and save the cases as per art. 24 Legislative Decree 196/03. According to these regulations, data treatment shall be carried out according to the principles of fairness, lawfulness, transparency and protection of Your privacy and Your rights. In compliance with art. 13, we hereby inform you that: 1- Data is collected for contractual needs and the treatment is carried out according to the following methods: manual and computerised. 2- Data treatment agreement is mandatory. 3- Should you refuse the treatment of your personal data, Zerogrey Srl will not be able to clear any of your purchase orders. 4- Your data will be acquired through request by Zerogrey Srl and Carpisa and shall be communicated to companies controlled or connected to Zerogrey Srl and/or Yamamay and to market research companies working for the aforementioned subjects for the above indicated purposes as well as for further marketing, advertisement, promotion, statistic and market research purposes. Moreover, your data may be communicated to personnel working at Zerogrey Srl departments, such as: Accountancy, Marketing, Communication, Internet, Sales, General Management, Administration and at Yamamay they may be communicated to personnel of the following departments: Accountancy, Marketing, Communication, New Media, Sales, General Management, Administration as these are responsible and entrusted with data treatment. Provided that Zerogrey Srl and Yamamay operate on a worldwide level, your data may also be transferred abroad, even outside the territory of the European Union. 5-You may address yourself to the holders and managers of your data to exercise your rights as provided by art. 7 of Legislative Decree 196/03, precisely: to confirm the existence or non existence of data regarding you; to cancel, change into anonymous and block your data treatment in violation of the law; to update, correct or complete your data; to receive confirmation that the above described operations have been transferred to those to which the data has been communicated. 6- Managers of the treatment are single-member companies Zerogrey S.r.l. and INTICOM S.P.A.; 7- The person in charge of the treatment, also as per art. 7 Legislative Decree 196 year 2003, is Giovanni Meda for Zerogrey Srl .
